Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ClauseKit platform, including all related services, features, and content provided by ClauseKit Inc.("Company," "we," "us," or "our"), a corporation organized under the laws of Delaware, USA.

By accessing or using ClauseKit, you agree to be bound by these Terms. If you are usingClauseKit on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Service Description

ClauseKit provides AI-powered contract review and analysis tools designed for sales and revenue teams. The platform scans contracts, identifies non-standard terms, flags risky clauses against configurable playbooks, and suggests redline language. ClauseKit is not a law firm and does not provide legal advice. All outputs should be reviewed by qualified legal counsel before reliance.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. ClauseKit Inc. is not liable for losses arising from unauthorized access to your account.

3. Acceptable Use

You agree not to use ClauseKit to process contracts containing classified government information, to reverse-engineer the AI models, or to resell access to the platform without written authorization from ClauseKit Inc..

4. Limitation of Liability

To the maximum extent permitted by law, ClauseKit Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use ofClauseKit. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

5. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

Privacy Policy

ClauseKit Inc. ("we," "us," or "our") is committed to protecting the privacy of users of the ClauseKit platform. This Privacy Policy describes how we collect, use, and share information when you use our services.

Information We Collect

We collect information you provide directly, including account registration data (name, email, company), contracts and documents uploaded for review, playbook configurations, and usage data. We also collect technical data such as IP addresses, browser type, and device information.

How We Use Information

We use your information to provide and improve the ClauseKit platform, process contract reviews, generate redline suggestions, provide customer support, and send service-related communications. We do not use your contract data to train our AI models.

Data Security

ClauseKit is SOC 2 Type II compliant. All documents are encrypted at rest (AES-256) and in transit (TLS 1.3). Contract data is processed in isolated environments and is not shared across customer accounts.
